These Terms and Conditions (“Terms”), together with any applicable Service Agreement, form a legally binding agreement between the Client identified in the Service Agreement (“Client”) and Bastant Solutions AS (“Bastant Solutions,” “we,” “our,” or “us”) regarding Client’s use of www.bastantai.com (the “Site”) and the services we provide (“Services”).
By accessing the Site or using the Services, Client acknowledges and agrees to these Terms.
Bastant Solutions may update these Terms from time to time.
Material changes will be communicated in writing, and continued use of the Site constitutes acceptance of the updated Terms.
1. Client Access and Client Data
1.1 Bastant Solutions grants Client a limited, non-exclusive, non-transferable right to access the Site and use the Services for internal business purposes during the term.
1.2 Access credentials may be provided as needed. Unless otherwise agreed, access is limited to five authorized users.
Client is responsible for all actions taken under its credentials.
1.3 Client retains ownership of all data uploaded to the Site.
Client grants Bastant Solutions a worldwide, royalty-free license to use, store, and process such data solely as necessaryto deliver the Services.
1.4 Bastant Solutions owns all derivative learnings, improvements, conversational patterns, embeddings, insights, and system logic generated by its AI systems.
2. Intellectual Property
2.1 Bastant Solutions owns all rights to its intellectual property, including but not limited to:
software, models, and algorithms
prompts, workflows, and training logic
designs, code, graphics, text, audio, video
trademarks, branding
2.2 Client may not:
copy, modify, or create derivative works
sublicense, rent, sell, or transfer the Services
reverse-engineer or attempt to extract source code
remove proprietary notices
request access to or disclosure of proprietary prompts, models, or internal methods
Nothing in these Terms grants Client rights to Bastant Solutions’ underlying systems.
3. Client Obligations
Client represents and warrants that:
(i) All registration information is accurate and up to date.
(ii) Client will comply with these Terms and applicable laws.
(iii) Client will not access the Site via bots, scrapers, or automation unless explicitly permitted.
(iv) Client has lawful rights to all data provided.
(v) Client has obtained all legally required consent and lawful basis for Bastant Solutions to contact leads or process personal data on Client’s behalf.
(vi) Client will not use the Services for unlawful, unethical, or unauthorized purposes.
Client is solely responsible for compliance with marketing, telecommunication, spam, and privacy laws in any jurisdiction where leads are contacted.
Failure to comply may result in immediate suspension or termination.
4. Account Security
Client is responsible for maintaining the confidentiality of login credentials and all activity performed using those credentials.
5. Confidentiality
Both Parties may share confidential information during the relationship.
The receiving Party agrees to:
(i) maintain confidentiality with reasonable care,
(ii) use the information solely to fulfill this Agreement,
(iii) not disclose it except to those who need to know, and
(iv) remain responsible for any breach by its representatives.
A separate NDA supersedes this section if present.
Confidentiality obligations survive for 3 years after termination.
6. Billing, Payments, and No Refunds
6.1 If either Party terminates the Service Agreement, Client remains responsible for all fees and performance charges earned through the termination date.
6.2 All fees, including subscriptions, retainers, and performance fees, are non-refundable.
7. Prohibited Activities
Client agrees not to:
harass or harm others
upload viruses or malicious code
circumvent security mechanisms
scrape, mine, or extract data
impersonate others
disrupt the Site or Services
use the Site to compete with Bastant Solutions
automate actions without permission
Any such activity may result in suspension or legal action.
8. Warranties and Disclaimers
8.1 Bastant Solutions warrants that the Services:
will be delivered with reasonable care and skill,
do not intentionally contain malicious code.
8.2 Bastant Solutions does NOT warrant:
any minimum performance,
specific sales results,
lead conversions,
appointment volumes,
uninterrupted or error-free operation.
8.3 Legal Compliance Disclaimer
Client—and not Bastant Solutions—is solely responsible for:
ensuring lawful basis for contacting individuals,
the accuracy and legality of lead data,
compliance with all marketing, telecommunication, privacy, and GDPR/Spam/TCPA laws applicable to Client’s operations.
8.4 Except as expressly stated, Services are provided “as is.”
9. Submissions and Feedback
Any suggestions, ideas, or improvements submitted by Client become the property of Bastant Solutions, excluding Client’s confidential or proprietary information.
10. Privacy and Data Transfers
By using the Site, Client accepts the Privacy Policy at:
www.bastantai.com/privacy-policy
Client consents to the processing and transfer of data internationally as required to deliver the Services.
Client is responsible for ensuring lawful basis (e.g., consent) for such transfers.
11. Termination by Bastant Solutions
We may suspend or terminate access without notice if:
Client violates these Terms,
Client violates applicable law,
misuse or abuse of the Services is detected.
Client may not create a new account following termination without written approval.
12. Modifications and Interruptions
Bastant Solutions may modify, suspend, or discontinue any part of the Site or Services at any time.
We are not liable for downtime, system interruptions, or service discontinuation.
13. Governing Law
These Terms are governed by the laws of Norway, without regard to conflict-of-law principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute Resolution
Before litigation, Parties will attempt to resolve disputes through 30 days of good-faith negotiation.
All disputes shall be resolved exclusively in Oslo District Court (Oslo tingrett).
15. Data Security
Bastant Solutions employs reasonable administrative, technical, and physical safeguards to protect Client data.
We do not sell or share client data except to deliver the Services or as required by law.
We do not warrant absolute security.
16. Data Backups
Bastant Solutions performs routine backups, but does not guarantee preservation of Client data.
Client is responsible for maintaining its own copies.
17. Electronic Communications
Client consents to electronic communication and signatures for all agreements, notices, and records.
18. Force Majeure
Neither Party is liable for delays caused by events beyond reasonable control, including natural disasters, war, technical failures, or government action.
19. Entire Agreement
These Terms, the Service Agreement, and any posted policies represent the entire agreement between the Parties.
Ineffective provisions do not affect enforceability of the rest.
